Welcome to the official website of Cialfor Research Labs Private Limited and Bluest Mettle Solutions Private Limited (“Cialfor”, “we”, “our”, “us”). By accessing or using our website, Services, or any digital platforms operated by us (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, please discontinue using our Services immediately.

1. Legal Entities Covered

These Terms apply to the operations, websites, digital products, and service offerings of:

2. Governing Law & Jurisdiction

These Terms are governed by the laws of India, with jurisdiction under the courts of Maharashtra (Pune), unless otherwise stated in a mutually agreed contract.

Where applicable, the Digital Personal Data Protection (DPDP) Act, 2023 and other Indian laws apply.

3. Services Provided

These Terms apply to all Services provided by Cialfor, including (but not limited to):

• Digital Forensics
• Cybersecurity Consulting
• Security Assessments
• AI/ML Security
• Data Privacy Management
• Training Programs

4. Additional Terms — Products & Services

Additional Terms: Where Services or Software are licensed rather than sold, they may be subject to additional terms (“Additional Terms”). If a conflict exists between these General Terms and any Additional Terms, the Additional Terms govern with respect to that Service or Software. Additional Terms may change.

If you make any payments to purchase a Product or Service, it is deemed that you have reviewed any available demo and understood the Product/Service. For Digital Assets and most Services, no refunds are granted once an order is placed unless otherwise agreed in writing or required by law.

For training projects or long-term engagements, payment terms (including refunds, if any) are governed by the applicable MoU, contract or proposal.

5. Member Accounts

If a Product requires an account, you must provide current, complete and accurate registration information. You may be required to accept a separate service agreement. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

6. Eligibility

There are no age restrictions for viewing the website. Service engagements are available only to individuals or organisations with legal capacity to contract.

7. Payment, Fees & Billing

Website payments: We do not accept payments through the website. Payments and billing are handled directly with clients during consultation or per the terms of an MoU/contract.

Recurring payments: If you subscribe to any recurring service, you authorize recurring payments until termination per the subscription terms. If a payment fails, we may collect applicable fees permitted by applicable law.

Order acceptance & cancellations: Cialfor may refuse or cancel orders for reasons including failure to meet conditions, payment processing issues, unavailability of Products/Services, or pricing errors. In case of cancellation, any paid amount may be refunded at Cialfor's discretion consistent with the governing agreement and applicable law.

8. Digital Assets & Refunds

Because many Products are digital assets, no refunds are generally provided once an order is placed, unless the parties agree otherwise in a written contract or the arbitrator/orders require a refund. It is your responsibility to confirm compatibility and suitability prior to purchase.

9. User Responsibilities

By using our Services, you agree to:

• Not misuse or disrupt the website or its infrastructure.
• Use Services only for lawful purposes.
• Provide accurate information when contacting us.
• Avoid uploading or transmitting malware, illegal content, or harmful data.

10. Materials You Provide (Submissions)

You retain ownership of materials you provide to Cialfor (“Submissions”), including feedback, reviews, and other content. However, by submitting material you grant Cialfor a worldwide, perpetual right to use, reproduce, display and distribute such Submissions for provision and promotion of Services.

You warrant that you have the rights necessary to make any Submission and to grant these rights to Cialfor. No compensation will be paid for any Submission used by Cialfor. Cialfor may remove Submissions at its discretion and assumes no liability for Submissions provided by users or third parties.

If you rate or review an application or Service, you may receive emails from Cialfor containing content from the publisher.

11. Our Access to Your Content

Where permitted by law, Cialfor may access, view or listen to your Content only to the limited extent necessary to:

• Perform Services or support requests
• Detect, prevent or address fraud, security, unlawful or technical issues
• Enforce these Terms

12. Geographic Availability

Products and Services may vary by region or device. Availability and access may be restricted based on your billing or shipping address. Changing regions or devices may affect re-download or re-stream capabilities.

13. End Users Only

Purchases are intended for end users. Resellers are not eligible to purchase unless explicitly authorized.

14. Export Limitations

Services and Software may be subject to export control laws and customs regulations. You agree to comply with applicable international and national laws when accessing or using Services.

15. Payment Method Representations

By providing a payment method, you represent that you are authorized to use it and that payment information is accurate. For trial offers, you must cancel before the trial ends to avoid charges; otherwise you authorize Cialfor to charge your chosen payment method.

16. Software Licenses & Use Rights

Software and digital content made available through our Products are licensed, not sold. Your rights are limited by these Terms, copyright law, and any accompanying license agreement. Unauthorized reproduction or redistribution may result in civil or criminal penalties.

17. Third-Party Links & Tools

The website may link to third-party sites. Cialfor is not responsible for third-party content, security, or privacy practices. Use third-party resources at your own risk.

18. Digital Forensics, Evidence & DPDP Compliance

When you engage Cialfor for digital forensics, you confirm you have the legal rights to the data/devices submitted. Cialfor may analyze, process and store digital evidence for service delivery and follows industry-standard chain-of-custody procedures.

DPDP Considerations

• Personal data is processed only with consent or another lawful basis.
• Reasonable security safeguards are implemented to protect data.
• Data retention is limited to what is necessary for service or legal compliance.

19. AI, Automation & Machine Learning Disclaimer

Some tools and assessments incorporate AI, automated analysis, or machine learning. Cialfor does not guarantee absolute accuracy of AI outputs, error-free automation, or continuous uptime. AI-generated insights should be validated by experts before being relied upon for final forensic or legal conclusions.

20. Intellectual Property

All website content—including branding, graphics, materials, and training content—belongs to Cialfor unless otherwise stated. You may not copy, reproduce, distribute, modify or resell any part of the website without prior written permission.

21. Limitation of Liability

Under the Moderate Liability approach, Cialfor is not liable for damages arising from use of the website or Services except in cases of proven negligence. This includes (but is not limited to) damages due to service interruptions, inaccurate data, AI errors, delays, or lost profits.

In all cases, liability shall not exceed the total amount paid by the client under the governing contract or MoU, to the extent permitted by law.

22. Termination Rights

Cialfor reserves the right to suspend or terminate access for misuse, illegal activity, non-payment, violation of Terms, or submission of unauthorized/harmful data or devices. We may refuse service when legally or ethically required.

23. Availability & Region Changes

Some content may be unavailable or limited by region or time. Changing account region or device may prevent re-download or re-streaming of previously purchased content; re-purchase may be required unless otherwise provided by law.

24. Disputes, Arbitration & Refunds

Any dispute between you and Cialfor shall be settled by a sole arbitrator appointed by Cialfor in accordance with the Arbitration & Conciliation Act, 1996. The place of arbitration shall be Pune and the language of arbitration shall be English.

Refunds relating to disputes will be made only after completion of the arbitration process and as directed by the arbitrator. If the arbitrator orders a refund (full or partial), Cialfor will comply and process the payment accordingly.

25. Privacy Policy

Your use of the website is governed by our Privacy Policy, including DPDP-related obligations.

26. Changes to Terms

Cialfor may update or modify these Terms at any time. Changes will be effective upon posting. Continued use of the website after posting constitutes acceptance of the revised Terms.
